How the performance fee works

Two-part BDC structure (modelled on the US BDC): (i) INCOME component: 12.5 % of net investment income (interest, dividends, certain fees less operating costs) above a hurdle of 1.25 % per quarter (5.00 % p.a.); SOFT/catch-up hurdle: 100 % catch-up between 1.25 % and 1.43 % per quarter (5.00-5.72 % p.a. annualised), thereafter 12.5 % of the excess; crystallisation QUARTERLY. (ii) CAPITAL GAINS component: 12.5 % of cumulative realised capital gains since launch, net of realised losses AND unrealised write-downs, less amounts already paid; NO hurdle; crystallisation ANNUAL. No classic high-water mark, but a full loss carry-forward (cumulative lookback calculation) on the gains component; no clawback. Note: the PRIIPs KID for class AA formally states 'None' under 'Hurdle Rate' (this refers to the gains component)
